Z Pulse Systems LLC provides marketing automation consulting, lead response system installation, CRM configuration, and related business operations services ("Services"). Services are delivered as described in individual service agreements or statements of work entered into between the Company and the client.

No service relationship is created until a written agreement or confirmation has been executed between the parties.

You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or your business entity. By using our website or services, you represent and warrant that you meet these eligibility requirements.

Our services are intended for business operators, not consumers. Nothing on this website constitutes a consumer-facing offer of goods or services subject to consumer protection statutes beyond what is expressly required by applicable law.

Fees for services are set forth in the applicable service agreement or invoice. All fees are due as stated in the applicable agreement.

No Refund Policy All payments made to Z Pulse Systems LLC are non-refundable unless expressly stated otherwise in a written agreement. The Company invests significant time and resources upon project initiation. Failure to complete an engagement on the client's part does not entitle the client to a refund.

Performance Commitment If the Company installs its systems and you do not see measurable improvement in contact rate, show rate, or close rate within ninety (90) days of a live installation, the Company will continue to operate and maintain the installed systems at no additional cost until measurable improvement is demonstrated. This is an operational commitment, not a financial refund guarantee.

All content on this website, including text, graphics, logos, and software, is the property of Z Pulse Systems LLC or its licensors and is protected by applicable intellectual property laws.

The systems, automation architectures, templates, and methodologies developed or installed by Z Pulse Systems LLC remain the intellectual property of Z Pulse Systems LLC unless expressly transferred in writing. Clients receive a limited, non-exclusive license to use installed systems for their own business operations.

You may not reproduce, distribute, modify, or create derivative works of our content without prior written permission.

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Z Pulse Systems LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

Our services integrate with third-party platforms including but not limited to GoHighLevel (HighLevel), Meta (Facebook/Instagram), Google, and scheduling software. Your use of these third-party services is governed by their respective terms of service and privacy policies.

The Company is not responsible for the practices, content, or availability of third-party services. Integration with third-party platforms does not constitute endorsement of those platforms.

You agree not to use our website or services to:

• —Violate any applicable federal, state, or local law or regulation, including the TCPA, CAN-SPAM Act, or FTC regulations
• —Transmit unsolicited commercial messages to individuals who have not provided prior express consent
• —Misrepresent your identity, business, or authority

• —Attempt to gain unauthorized access to our systems or data

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If not resolved within thirty (30) days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Casper, Wyoming, unless otherwise agreed in writing.

YOU AND THE COMPANY WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE NOT TO PARTICIPATE IN ANY CLASS ACTION OR CLASS ARBITRATION PROCEEDING.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a new effective date. Your continued use of our website or services after the posting of updated Terms constitutes your acceptance of the changes.
